After all, why create a completely different employment contract in Colombia if your company already has a carefully drafted agreement covering compensation, confidentiality, intellectual property, working hours and termination?<\/p>\n\n\n\n<p>Generally, you can preserve much of your global employment framework, but <strong>you should not assume that the agreement can be used in Colombia without modification.<\/strong><\/p>\n\n\n\n<p>Colombian labor law contains mandatory rules governing employment relationships, including contract duration, working hours, statutory benefits, social security, compensation and termination. A foreign company cannot avoid those requirements simply because its employee signs an agreement governed by another country&#8217;s laws.<\/p>\n\n\n\n<p>For international companies, the practical question is therefore not whether you can use your global employment agreement in Colombia. It is <strong>which provisions can remain global, which need to be adapted, and which Colombian requirements must be added before the employee signs.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Does Colombian law apply to an employment contract in Colombia if the employer is foreign?<\/h2>\n\n\n\n<p>In most cases, yes, when the employee actually performs their work in Colombia.<\/p>\n\n\n\n<p><strong>The nationality or location of the company&#8217;s headquarters does not, by itself, remove the employment relationship from Colombian labor law.<\/strong> If a U.S., Canadian, British or European company hires someone who performs their work from Colombia, the company needs to consider the Colombian rules that govern the relationship.<\/p>\n\n\n\n<p>This is particularly important because Colombian labor law places significant emphasis on the reality of the relationship rather than simply the language used in the contract. Colombian law recognizes the principle of primacy of reality, meaning that the actual circumstances of the working relationship matter when determining its legal nature.<\/p>\n\n\n\n<p>That principle also explains why changing the title of an agreement does not necessarily change the underlying legal relationship. A document called a &#8220;consulting agreement&#8221; does not automatically make someone an independent contractor if the person actually works under the company&#8217;s direction and control.<\/p>\n\n\n\n<p>The same principle applies to an employment agreement drafted abroad. Calling it a &#8220;global employment agreement&#8221; does not make Colombian employment rules disappear.<\/p>\n\n\n\n<p>The current Colombian framework also expressly recognizes stability in employment, the non waiver of minimum labor rights and the primacy of reality over contractual formalities.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Why can a global employment agreement create problems in Colombia?<\/h2>\n\n\n\n<p>The problem is usually not that the global agreement is poorly drafted.<\/p>\n\n\n\n<p>Sophisticated international companies often have employment agreements that are significantly more detailed than the documents used by smaller Colombian employers. The issue is that the agreement was drafted around a different legal system.<\/p>\n\n\n\n<p>Consider a U.S. employment agreement that provides for employment at will, two weeks of paid vacation, a discretionary annual bonus, a 40 hour workweek and termination according to company policy.<\/p>\n\n\n\n<p>Those provisions may make sense in the jurisdiction where the agreement was drafted.<\/p>\n\n\n\n<p>They do not automatically create a compliant employment relationship in Colombia.<\/p>\n\n\n\n<p>A Colombian employment contract must operate within mandatory local rules. The parties can negotiate many aspects of the relationship, but they cannot simply contract away statutory rights that Colombian law protects.<\/p>\n\n\n\n<p>That distinction becomes particularly important after Colombia&#8217;s 2025 labor reform, which changed several fundamental aspects of the employment framework.<\/p>\n\n\n\n<p><strong>A global agreement that was appropriate for Colombia several years ago may therefore require a fresh review before the company uses it for a new hire.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What can you keep from a global employment agreement?<\/h2>\n\n\n\n<p>International companies do not necessarily need to abandon their global employment documentation when entering Colombia.<\/p>\n\n\n\n<p>In many cases, the global agreement provides an excellent foundation. <strong>The objective is to identify which provisions reflect genuine company wide standards and which provisions depend on the laws of the jurisdiction where the employee works.<\/strong><\/p>\n\n\n\n<p>A global agreement can often provide useful language regarding:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Confidentiality and trade secrets<\/li>\n\n\n\n<li>Intellectual property and ownership of work product<\/li>\n\n\n\n<li>Information security<\/li>\n\n\n\n<li>Data protection<\/li>\n\n\n\n<li>Conflicts of interest<\/li>\n\n\n\n<li>Business ethics and compliance<\/li>\n\n\n\n<li>Internal company policies<\/li>\n\n\n\n<li>Use of company equipment and technology<\/li>\n\n\n\n<li>Corporate codes of conduct<\/li>\n\n\n\n<li>Certain bonus and incentive arrangements<\/li>\n\n\n\n<li>Global benefits that exceed Colombian statutory requirements<\/li>\n<\/ul>\n\n\n\n<p>The key is to review these provisions against Colombian law rather than assuming that the same language will have the same effect.<\/p>\n\n\n\n<p>For example, a technology company may have a global intellectual property clause that it uses for employees in every country where it operates. That clause may remain commercially important in Colombia, but local counsel should review how the relevant rights and assignments operate under Colombian law.<\/p>\n\n\n\n<p>The same analysis applies to confidentiality provisions, compensation structures, restrictive provisions and termination language.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What should change in an employment contract in Colombia?<\/h2>\n\n\n\n<p>Several parts of a global employment agreement deserve particular attention before they become the basis for an employment contract in Colombia.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. Contract duration<\/h3>\n\n\n\n<p>This is one of the areas most affected by Colombia&#8217;s 2025 labor reform.<\/p>\n\n\n\n<p>The current framework establishes the indefinite term employment contract as the general rule. Fixed term contracts remain available, but they must comply with specific requirements.<\/p>\n\n\n\n<p>Under <a href=\"https:\/\/www.funcionpublica.gov.co\/eva\/gestornormativo\/norma.php?i=260676\">Law 2466 of 2025<\/a>, <strong>a fixed term employment contract cannot exceed four years and must be documented in writing.<\/strong> If the applicable requirements are not satisfied, the relationship can be treated as indefinite from the beginning. The law also regulates renewals and contracts for a specific project or work.<\/p>\n\n\n\n<p>This matters for companies whose global agreements automatically use one year, two year or three year employment terms because that is standard practice in their home jurisdiction.<\/p>\n\n\n\n<p>A Colombian employment contract should reflect the actual reason for using a particular contract structure rather than simply importing the company&#8217;s global template.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Working hours<\/h3>\n\n\n\n<p>Working hours are another area where an international template can quickly become outdated.<\/p>\n\n\n\n<p>As of July 15, 2026, Colombia&#8217;s maximum ordinary working week is 42 hours. The current framework allows the ordinary weekly schedule to be distributed over five or six days while preserving the mandatory day of rest. Colombian law also contains specific rules regarding nighttime work and additional compensation.<\/p>\n\n\n\n<p>That means <strong>an international company should look carefully at any global agreement that contains a 45 or 48 hour weekly schedule.<\/strong><\/p>\n\n\n\n<p>A company whose global policy provides for a 40 hour week may already be within the Colombian maximum. The more complicated situation arises when the company&#8217;s global agreement assumes that employees can work additional hours without considering Colombian overtime and nighttime rules.<\/p>\n\n\n\n<p>The issue becomes even more important for international teams operating across time zones. A Colombian employee may technically work for a company headquartered in New York, London or Berlin, but the employee&#8217;s working schedule can still trigger Colombian labor requirements.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3. Salary and variable compensation<\/h3>\n\n\n\n<p>Compensation deserves more than a simple review of the employee&#8217;s annual salary.<\/p>\n\n\n\n<p>Colombian law distinguishes between payments that constitute salary and payments that do not. <strong>The legal characterization can affect the calculation of statutory benefits and social security contributions.<\/strong><\/p>\n\n\n\n<p>Article 127 of the Colombian Labour Code provides that salary includes not only ordinary fixed or variable remuneration but also amounts received as direct compensation for services, regardless of the name given to the payment. The provision expressly refers to items such as bonuses, overtime, work performed on mandatory rest days, sales percentages and commissions.<\/p>\n\n\n\n<p>This creates an important issue for companies that use sophisticated global compensation packages.<\/p>\n\n\n\n<p>A global agreement may describe a payment as a &#8220;bonus,&#8221; &#8220;allowance,&#8221; &#8220;incentive&#8221; or &#8220;benefit.&#8221; That label alone does not necessarily determine its treatment under Colombian law.<\/p>\n\n\n\n<p><strong>Before implementing the compensation structure, the company should therefore understand which payments may form part of the employee&#8217;s salary for Colombian purposes.<\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">4. Statutory benefits<\/h3>\n\n\n\n<p>An employment contract in Colombia also needs to account for statutory benefits that may not exist in the employee&#8217;s home jurisdiction.<\/p>\n\n\n\n<p>Depending on the circumstances, Colombian employees are entitled to protections and benefits including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Paid vacation<\/li>\n\n\n\n<li>Prima de servicios (mandatory annual bonus)<\/li>\n\n\n\n<li>Cesant\u00edas (severance)<\/li>\n\n\n\n<li>Interest on cesant\u00edas (interests in severance<\/li>\n\n\n\n<li>Social security contributions<\/li>\n\n\n\n<li>Occupational risk coverage<\/li>\n\n\n\n<li>Applicable parafiscal contributions<\/li>\n\n\n\n<li>Statutory leaves and other labor protections<\/li>\n<\/ul>\n\n\n\n<p>These obligations do not disappear because the employee receives a generous global benefits package.<\/p>\n\n\n\n<p>A company may choose to provide benefits that are more generous than Colombian statutory requirements. What it cannot do is use a global benefits package to assume that the statutory Colombian framework no longer applies.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What about termination under an employment contract in Colombia?<\/h2>\n\n\n\n<p>Termination is one of the areas where international companies should be particularly careful.<\/p>\n\n\n\n<p>Companies accustomed to employment at will may initially find the Colombian framework unfamiliar. Colombian employment relationships can end for different legally recognized reasons, and the consequences depend on the circumstances of the termination.<\/p>\n\n\n\n<p>The employment agreement should therefore distinguish between concepts such as termination with just cause, termination without just cause and expiration of a valid fixed term.<\/p>\n\n\n\n<p>Where an employer terminates an indefinite term employment relationship without just cause, Colombian law may require the employer to pay statutory termination indemnity. The calculation depends on factors including the employee&#8217;s salary and the type of employment relationship.<\/p>\n\n\n\n<p>The practical lesson is important: <strong>the termination clause in your global employment agreement does not necessarily tell you what it will cost to terminate a Colombian employee.<\/strong><\/p>\n\n\n\n<p>That cost should be understood before the company makes the hire, not after a dispute has already developed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Does remote work change the analysis?<\/h2>\n\n\n\n<p>Not necessarily.<\/p>\n\n\n\n<p>A foreign company may have no Colombian office but employ a developer, lawyer, marketing professional, Country Manager or other team member who performs all of their work from Colombia.<\/p>\n\n\n\n<p>The absence of a physical office does not automatically remove the relationship from Colombian employment law.<\/p>\n\n\n\n<p>Remote work also creates additional questions about working hours, payroll, social security, equipment, data protection and the company&#8217;s broader operational structure.<\/p>\n\n\n\n<p>For that reason, companies hiring remotely should consider more than the wording of the employment contract itself.<\/p>\n\n\n\n<p>Before hiring, ask:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Who is the legal employer?<\/li>\n\n\n\n<li>Where does the employee actually perform the work?<\/li>\n\n\n\n<li>Which entity pays the employee?<\/li>\n\n\n\n<li>Who manages Colombian payroll?<\/li>\n\n\n\n<li>Who makes social security contributions?<\/li>\n\n\n\n<li>Which entity assumes employment liabilities?<\/li>\n\n\n\n<li>Does the company have a Colombian entity?<\/li>\n\n\n\n<li>Is an Employer of Record appropriate?<\/li>\n\n\n\n<li>Are there tax or permanent establishment considerations?<\/li>\n\n\n\n<li>Does the employee require Colombian immigration authorization?<\/li>\n\n\n\n<li>Are the company&#8217;s global remote work policies compatible with Colombian requirements?<\/li>\n<\/ul>\n\n\n\n<p>These questions illustrate why an employment contract in Colombia cannot always be reviewed in isolation. It becomes much more complicated when the person works under the company&#8217;s direction, follows a fixed schedule, reports into the organization and functions like an employee.<\/p>\n\n\n\n<p>Colombian courts and authorities can look at the substance of the relationship rather than the title of the contract. If the relationship contains the elements of employment, changing the document from an employment agreement to a services agreement does not necessarily eliminate the company&#8217;s exposure.<\/p>\n\n\n\n<p>The same principle matters when an international company uses a global contractor agreement that was drafted for another country. The document may be commercially useful, but the company still needs to confirm that the actual relationship fits the intended legal structure.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What should you review before signing an employment contract in Colombia?<\/h2>\n\n\n\n<p>Before a foreign company signs an employment contract in Colombia, we recommend reviewing at least the following:<\/p>\n\n\n\n<p><strong>Legal employer:<\/strong> Confirm which entity will employ the individual and assume the resulting obligations.<\/p>\n\n\n\n<p><strong>Contract type:<\/strong> Determine whether the relationship should be indefinite term, fixed term, for a specific work or project, or another legally recognized structure.<\/p>\n\n\n\n<p><strong>Compensation:<\/strong> Review salary, commissions, bonuses, equity, allowances and other payments under Colombian rules.<\/p>\n\n\n\n<p><strong>Statutory benefits:<\/strong> Confirm vacation, prima de servicios, cesant\u00edas, interest on cesant\u00edas, social security and applicable contributions.<\/p>\n\n\n\n<p><strong>Working time:<\/strong> Review ordinary hours, overtime, nighttime work, rest days and the employee&#8217;s actual working schedule.<\/p>\n\n\n\n<p><strong>Termination:<\/strong> Understand the legal grounds and potential indemnities before agreeing to termination provisions.<\/p>\n\n\n\n<p><strong>Intellectual property:<\/strong> Check that ownership and assignment provisions work under Colombian law.<\/p>\n\n\n\n<p><strong>Confidentiality:<\/strong> Confirm that global confidentiality obligations remain appropriate and enforceable locally.<\/p>\n\n\n\n<p><strong>Remote work:<\/strong> Make sure the agreement and company policies accurately reflect how the employee will work.<\/p>\n\n\n\n<p><strong>Immigration:<\/strong> If the employee is a foreign national, confirm that the relevant Colombian immigration status permits the intended employment.<\/p>\n\n\n\n<p><strong>Payroll:<\/strong> Establish how Colombian payroll, social security and other employment related obligations will be handled.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The better question is not whether you can use your global agreement<\/h2>\n\n\n\n<p>For an international company entering Colombia, legal efficiency does not necessarily mean creating an entirely new set of documents for every country. <strong>The better strategy is to identify which parts of your global employment framework should remain consistent and which provisions Colombian law requires you to localize.<\/strong><\/p>\n\n\n\n<p>That approach can preserve your company&#8217;s global standards while reducing the risk that a seemingly simple first hire creates an unexpected labor liability.<\/p>\n\n\n\n<p>Colombia&#8217;s employment framework has also changed significantly in recent years. Law 2466 of 2025 introduced important changes to employment contracts, working conditions and other labor rules, making it particularly important for international companies to review older templates before using them for new Colombian hires.<\/p>\n\n\n\n<p>A well structured employment contract in Colombia should therefore do more than satisfy a legal checklist.
