You receive a folder, start reviewing corporate documents, financial statements, contracts, employee information, and regulatory records, and gradually build a picture of the company.<\/p>\n\n\n\n<p>The isssue is that those documents rarely tell the whole story on their own.<\/p>\n\n\n\n<p>For a foreign investor, the real purpose of legal due diligence is to understand whether the business presented to you is consistent with the business that actually exists under Colombian law. A company may have strong revenues and an attractive growth story while carrying unresolved corporate, tax, labor, regulatory, or data protection issues that only become visible when different documents are compared.<\/p>\n\n\n\n<p>That is why knowing <strong>what to ask for in a Colombian data room<\/strong> matters just as much as knowing what to look for once you receive it.<\/p>\n\n\n\n<p>A good data room should help you answer five fundamental questions: Who owns the company? How does it actually operate? What legal obligations does it have? What risks could affect the investment? And what needs to happen before or after closing?<\/p>\n\n\n\n<p>For international investors who are unfamiliar with the Colombian legal environment, these questions are particularly important because <strong>several local requirements do not have a direct equivalent in other jurisdictions.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Colombian Data Room: Start With the Ownership Structure<\/h2>\n\n\n\n<p>The first thing we recommend reviewing is the company&#8217;s legal and ownership history.<\/p>\n\n\n\n<p>You should be able to establish who owns the Colombian entity today, how those shares were acquired, who has authority to represent the company, and whether any third party has rights that could affect your investment.<\/p>\n\n\n\n<p>At a minimum, request:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The current certificate of existence and legal representation<\/li>\n\n\n\n<li>Articles of incorporation and amendments<\/li>\n\n\n\n<li>Shareholder registry<\/li>\n\n\n\n<li>Capitalization table signed by legal representative and accountant<\/li>\n\n\n\n<li>Share subscription agreements<\/li>\n\n\n\n<li>Share transfer documents<\/li>\n\n\n\n<li>Shareholder agreements<\/li>\n\n\n\n<li>Shareholder meeting minutes<\/li>\n\n\n\n<li>Board minutes, where applicable<\/li>\n\n\n\n<li>Powers of attorney<\/li>\n\n\n\n<li>Information about legal representatives<\/li>\n\n\n\n<li>Documents relating to options, convertible instruments, warrants, or other rights over shares<\/li>\n<\/ul>\n\n\n\n<p>The certificate of existence and legal representation is an important starting point because it confirms information recorded in the public commercial registry. However, it does not replace an examination of the company&#8217;s internal corporate records. The Chamber of Commerce of Bogot\u00e1, for example, describes the certificate as the official document reflecting information contained in the public registers it administers.<\/p>\n\n\n\n<p>Imagine that the capitalization table shows that the founder owns 60% and an international investor owns 40%. You should be able to trace those percentages back to actual share issuances or transfers, corporate approvals, and the shareholder registry.<\/p>\n\n\n\n<p>If the numbers do not match, do not simply ask the company to update the spreadsheet. Find out why they do not match.<\/p>\n\n\n\n<p>That discrepancy could be an administrative mistake. It could also reveal an undocumented transaction, an unresolved shareholder arrangement, or a more fundamental corporate problem.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Should a Foreign Investor Ask About Beneficial Ownership?<\/h2>\n\n\n\n<p>The next step is understanding who ultimately controls the Colombian company.<\/p>\n\n\n\n<p>Request information concerning the company&#8217;s <strong>Registro \u00danico de Beneficiarios Finales, or RUB<\/strong>, together with supporting ownership documentation where appropriate.<\/p>\n\n\n\n<p>Colombia requires covered legal entities and other qualifying structures to report beneficial ownership information to the DIAN through the RUB. The DIAN also maintains specific rules and procedures concerning the initial filing and subsequent updates.<\/p>\n\n\n\n<p>This becomes particularly relevant when a Colombian company is owned through one or more foreign entities.<\/p>\n\n\n\n<p>For example, a Colombian SAS might be owned by a US corporation, which is itself owned by several investment vehicles. Looking only at the immediate shareholder would not give the investor a complete picture of the ownership structure.<\/p>\n\n\n\n<p>Instead, compare the capitalization table, shareholder registry, corporate documents, foreign ownership records, and RUB information.<\/p>\n\n\n\n<p>These records should generally tell a coherent story about who owns and controls the business.<\/p>\n\n\n\n<p>Beneficial ownership also matters beyond the transaction itself. Banks, compliance teams, regulators, and other counterparties may need to understand the same ownership structure, particularly where the business has significant international transactions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Colombian Data Room Due Diligence Should Include Foreign Investment Records<\/h2>\n\n\n\n<p>Foreign investment records deserve particular attention when the existing shareholders or the proposed investor are located outside Colombia.<\/p>\n\n\n\n<p>Ask for documents showing <strong>how foreign capital entered the country and how the investment was recorded under Colombia&#8217;s foreign exchange framework.<\/strong><\/p>\n\n\n\n<p>Depending on the company&#8217;s history, this may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Documentation supporting capital contributions<\/li>\n\n\n\n<li>Foreign exchange declarations<\/li>\n\n\n\n<li>Records from an authorized foreign exchange intermediary<\/li>\n\n\n\n<li>Banco de la Rep\u00fablica investment records<\/li>\n\n\n\n<li>Capitalization records<\/li>\n\n\n\n<li>Documentation concerning changes in foreign shareholders<\/li>\n\n\n\n<li>Records relating to cancellation or substitution of foreign investments<\/li>\n<\/ul>\n\n\n\n<p>This area has become easier to verify because the Banco de la Rep\u00fablica now operates its Sistema de Informaci\u00f3n Cambiaria as an online system covering international investments and other foreign exchange information.<\/p>\n\n\n\n<p>There is also an important distinction between investments that were channeled through the foreign exchange market and investments that did not require that process. According to the Banco de la Rep\u00fablica&#8217;s current guidance, investments channeled through an authorized foreign exchange intermediary or compensation account are registered automatically through the relevant reporting process. Other investments may require registration through the Sistema de Informaci\u00f3n Cambiaria.<\/p>\n\n\n\n<p>Consequently, the right question is not simply, \u201cWas the foreign investment registered?\u201d<\/p>\n\n\n\n<p>Instead, ask:<\/p>\n\n\n\n<p><strong>How did the investment enter Colombia, and what registration or reporting process applied to it?<\/strong><\/p>\n\n\n\n<p>That answer can become important when the company later receives additional foreign capital, changes shareholders, restructures its ownership, or distributes investment proceeds abroad.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Review Tax Information Against the Business Model<\/h2>\n\n\n\n<p>Financial statements are essential, but they should never be reviewed in isolation.<\/p>\n\n\n\n<p>A Colombian data room should give you enough information to understand how the company&#8217;s financial reporting corresponds with its actual business activities.<\/p>\n\n\n\n<p>Request:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Financial statements for several years<\/li>\n\n\n\n<li>General ledger<\/li>\n\n\n\n<li>Accounts receivable and accounts payable aging<\/li>\n\n\n\n<li>Bank statements<\/li>\n\n\n\n<li>Material debt agreements<\/li>\n\n\n\n<li>Guarantees<\/li>\n\n\n\n<li>Related party transactions<\/li>\n\n\n\n<li>Tax returns<\/li>\n\n\n\n<li>Tax payment records<\/li>\n\n\n\n<li>DIAN correspondence<\/li>\n\n\n\n<li>Tax audit documentation<\/li>\n\n\n\n<li>RUT<\/li>\n\n\n\n<li>VAT and withholding tax information, where applicable<\/li>\n\n\n\n<li>Information concerning tax disputes and outstanding obligations<\/li>\n<\/ul>\n\n\n\n<p>The RUT is an important starting point because it identifies and classifies taxpayers and other persons subject to DIAN administered obligations.<\/p>\n\n\n\n<p>However, the more valuable exercise is comparing the RUT with the company&#8217;s actual operations.<\/p>\n\n\n\n<p>Suppose the company describes itself as a technology business but generates a significant portion of its revenue through licensing, distribution, or another activity. That difference may have consequences for tax, contractual, regulatory, or foreign exchange analysis.<\/p>\n\n\n\n<p>Related party transactions deserve similar attention. Payments between the Colombian company and a foreign parent, affiliate, founder, or related entity may involve withholding tax, transfer pricing, deductibility, foreign exchange, or corporate governance considerations.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Should You Look for in Commercial Contracts?<\/h2>\n\n\n\n<p>The contracts section of a Colombian data room should reveal how the company actually makes money and what it needs to continue operating.<\/p>\n\n\n\n<p>Request material:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Customer agreements<\/li>\n\n\n\n<li>Supplier agreements<\/li>\n\n\n\n<li>Distribution agreements<\/li>\n\n\n\n<li>Licensing agreements<\/li>\n\n\n\n<li>Technology agreements<\/li>\n\n\n\n<li>Franchise agreements<\/li>\n\n\n\n<li>Real estate leases<\/li>\n\n\n\n<li>Financing agreements<\/li>\n\n\n\n<li>Joint venture agreements<\/li>\n\n\n\n<li>Government contracts<\/li>\n\n\n\n<li>Agreements with affiliates<\/li>\n\n\n\n<li>Exclusivity arrangements<\/li>\n\n\n\n<li>Contracts containing change of control provisions<\/li>\n<\/ul>\n\n\n\n<p>Do not limit the review to the company&#8217;s largest contracts.<\/p>\n\n\n\n<p>A smaller agreement can sometimes create a much bigger problem if it contains exclusivity, intellectual property restrictions, termination rights, or a change of control clause.<\/p>\n\n\n\n<p>For an acquisition, one question should appear repeatedly throughout the contract review:<\/p>\n\n\n\n<p><strong>What happens to this agreement when ownership changes?<\/strong><\/p>\n\n\n\n<p>A customer contract may represent a significant source of revenue. If that contract requires the counterparty&#8217;s consent before a change of control, however, the value of the relationship may depend on obtaining that consent.<\/p>\n\n\n\n<p>Likewise, a technology company may rely on software licensed from a foreign affiliate. If the license cannot continue after the transaction, the investor may not actually be acquiring the technology infrastructure it expected.<\/p>\n\n\n\n<p>The contract review should therefore connect directly to the investment thesis.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Colombian Data Room Labor Review: Employees and Contractors<\/h2>\n\n\n\n<p>Labor exposure is another area where foreign investors can underestimate the risk.<\/p>\n\n\n\n<p>Request the company&#8217;s employment and contractor documentation, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Employment agreements<\/li>\n\n\n\n<li>Contractor agreements<\/li>\n\n\n\n<li>Payroll records<\/li>\n\n\n\n<li>Benefits information<\/li>\n\n\n\n<li>Vacation records<\/li>\n\n\n\n<li>Severance calculations<\/li>\n\n\n\n<li>Social security payment records<\/li>\n\n\n\n<li>PILA records<\/li>\n\n\n\n<li>Termination agreements<\/li>\n\n\n\n<li>Labor claims<\/li>\n\n\n\n<li>Workplace investigation records<\/li>\n\n\n\n<li>Occupational health and safety documentation<\/li>\n\n\n\n<li>Internal employment policies<\/li>\n<\/ul>\n\n\n\n<p>The distinction between employees and independent contractors deserves particular attention.<\/p>\n\n\n\n<p><strong>A company may call someone a contractor, but Colombian labor analysis focuses on the actual relationship rather than simply the title of the agreement.<\/strong> If the relationship involves personal service, compensation, and subordination, the classification may require further analysis. This is particularly relevant for companies that have grown quickly and use contractors for sales, operations, technology, management, or administrative roles.<\/p>\n\n\n\n<p>For example, imagine a Colombian company with fifteen people classified as independent contractors. A company that appears profitable can still carry substantial historical exposure if contributions have not been calculated or paid correctly.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Data Privacy Documents Should Be in a Colombian Data Room?<\/h2>\n\n\n\n<p>For technology companies, healthcare businesses, ecommerce companies, financial businesses, hospitality groups, and consumer brands, personal data can be one of the most important assets in the business.<\/p>\n\n\n\n<p>As a result, the Colombian data room should include more than a privacy policy.<\/p>\n\n\n\n<p>Request:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Privacy policies<\/li>\n\n\n\n<li>Customer consent mechanisms<\/li>\n\n\n\n<li>Employee privacy documentation<\/li>\n\n\n\n<li>Data processing agreements<\/li>\n\n\n\n<li>Vendor agreements with habeas data clauses<\/li>\n\n\n\n<li>Information concerning international data transfers<\/li>\n\n\n\n<li>Data security policies<\/li>\n\n\n\n<li>Data breach records<\/li>\n\n\n\n<li>Complaints concerning personal data<\/li>\n\n\n\n<li>Correspondence with the Superintendence of Industry and Commerce<\/li>\n\n\n\n<li>Registro Nacional de Bases de Datos information, where applicable<\/li>\n<\/ul>\n\n\n\n<p>Colombia&#8217;s general personal data protection framework is established primarily under <a href=\"https:\/\/www.funcionpublica.gov.co\/eva\/gestornormativo\/norma.php?i=49981\" data-type=\"link\" data-id=\"https:\/\/www.funcionpublica.gov.co\/eva\/gestornormativo\/norma.php?i=49981\">Law 1581 of 2012<\/a>. The SIC supervises compliance with the country&#8217;s personal data protection rules, and its Registro Nacional de Bases de Datos provides a public directory of qualifying databases subject to registration.<\/p>\n\n\n\n<p>For an international investor, the practical question is how the company actually handles information.<\/p>\n\n\n\n<p>Suppose a Colombian company collects customer information through its website, stores it with a US based cloud provider, shares some information with a foreign parent, and uses an international marketing platform. Cannabis, pharmaceutical, food, environmental, logistics, and industrial businesses can each have their own regulatory requirements.<\/p>\n\n\n\n<p>Ask for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Current licenses and permits<\/li>\n\n\n\n<li>Sector specific registrations<\/li>\n\n\n\n<li>Applications pending with government authorities<\/li>\n\n\n\n<li>Inspection reports<\/li>\n\n\n\n<li>Government correspondence<\/li>\n\n\n\n<li>Administrative proceedings<\/li>\n\n\n\n<li>Sanctions<\/li>\n\n\n\n<li>Renewal dates<\/li>\n\n\n\n<li>Environmental permits, where applicable<\/li>\n\n\n\n<li>Evidence of ongoing compliance<\/li>\n<\/ul>\n\n\n\n<p>Then compare those documents with the company&#8217;s actual operations.<\/p>\n\n\n\n<p>This is where a local advisor can add significant value.<\/p>\n\n\n\n<p>A permit may be valid, but its scope may not cover a new product, facility, service, location, or business activity that the company introduced later.<\/p>\n\n\n\n<p>Therefore, the question is not simply whether a license exists.<\/p>\n\n\n\n<p><strong>Does the authorization cover what the company is doing today?<\/strong><\/p>\n\n\n\n<p>That distinction can be critical in regulated industries where a single authorization supports a substantial part of the company&#8217;s value.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Colombian Data Room Litigation Review: Look for Patterns<\/h2>\n\n\n\n<p>Every company has some risk of disputes. The existence of a lawsuit does not automatically make an investment problematic, what matters is the nature and pattern of the disputes.<\/p>\n\n\n\n<p>Request information concerning:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Current litigation against the company and its legal representatives<\/li>\n\n\n\n<li>Arbitration<\/li>\n\n\n\n<li>Labor disputes<\/li>\n\n\n\n<li>Tax disputes<\/li>\n\n\n\n<li>Regulatory investigations<\/li>\n\n\n\n<li>Administrative proceedings<\/li>\n\n\n\n<li>Collection proceedings<\/li>\n\n\n\n<li>Threatened claims<\/li>\n\n\n\n<li>Settlement agreements<\/li>\n\n\n\n<li>Government investigations<\/li>\n\n\n\n<li>Material correspondence with regulators<\/li>\n<\/ul>\n\n\n\n<p>Ask management about disputes that have not yet become formal proceedings as well.<\/p>\n\n\n\n<p>For instance, <strong>three separate labor claims involving similar facts may tell you more about the company&#8217;s risk profile than one large commercial dispute.<\/strong><\/p>\n\n\n\n<p>Similarly, recurring tax disagreements can reveal weaknesses in the company&#8217;s tax processes even if each individual matter appears manageable.<\/p>\n\n\n\n<p>The objective is to understand whether a dispute represents an isolated event or evidence of a broader operational problem.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Do Not Forget Intellectual Property<\/h2>\n\n\n\n<p>Intellectual property can represent a substantial part of the value of a Colombian company, particularly in technology, consumer, pharmaceutical, wellness, hospitality, and creative industries.<\/p>\n\n\n\n<p>Request information concerning:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Trademarks<\/li>\n\n\n\n<li>Copyrights<\/li>\n\n\n\n<li>Patents<\/li>\n\n\n\n<li>Domain names<\/li>\n\n\n\n<li>Software<\/li>\n\n\n\n<li>Technology licenses<\/li>\n\n\n\n<li>Intellectual property assignment agreements<\/li>\n\n\n\n<li>Employee and contractor IP agreements<\/li>\n\n\n\n<li>Open source software policies, where relevant<\/li>\n\n\n\n<li>Pending applications<\/li>\n\n\n\n<li>IP disputes<\/li>\n<\/ul>\n\n\n\n<p>One question matters above all:<\/p>\n\n\n\n<p><strong>Does the company actually own the intellectual property it says it owns?<\/strong><\/p>\n\n\n\n<p>Imagine that a Colombian technology company was built by a founder who hired several freelance developers. The company may use and commercialize the software every day, but that does not automatically mean the investor should assume that all relevant intellectual property rights are properly documented.<\/p>\n\n\n\n<p>The same issue can arise with trademarks created by marketing agencies or brands developed before the company was formally incorporated.<\/p>\n\n\n\n<p>Intellectual property diligence should therefore connect the company&#8217;s commercial assets with the agreements that created or transferred those rights.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What About AML and SAGRILAFT?<\/h2>\n\n\n\n<p>For companies subject to Colombia&#8217;s applicable AML requirements, the Colombian data room should include the relevant compliance framework.<\/p>\n\n\n\n<p>Depending on the company&#8217;s activities, size, supervision, and other applicable conditions, request:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>SAGRILAFT documentation<\/li>\n\n\n\n<li>Risk assessments<\/li>\n\n\n\n<li>Compliance policies<\/li>\n\n\n\n<li>Customer and supplier due diligence procedures<\/li>\n\n\n\n<li>Compliance officer information<\/li>\n\n\n\n<li>Training records<\/li>\n\n\n\n<li>Monitoring procedures<\/li>\n\n\n\n<li>Relevant reports<\/li>\n\n\n\n<li>Internal compliance reviews<\/li>\n\n\n\n<li>Government correspondence<\/li>\n\n\n\n<li><\/li>\n<\/ul>\n\n\n\n<p>Still, asking whether a company \u201chas SAGRILAFT\u201d is not enough.<\/p>\n\n\n\n<p>The more useful question is whether the system operates in practice.<\/p>\n\n\n\n<p>A company can have a polished compliance manual and still fail to apply its own customer due diligence procedures.
