Branch vs. Subsidiary in Colombia: Which Structure Is Right for Your Foreign Company?<\/h2>\n<\/div><\/div>\n\n\n\n

For a foreign company entering Colombia, choosing the right legal structure can feel like a technical incorporation question. In practice, it is a much bigger decision.<\/p>\n\n\n\n

A branch or a subsidiary in Colombia can determine who bears commercial liabilities, how the local operation is governed, how capital moves between Colombia and the parent company, and how easily the business can grow or change later.<\/strong><\/p>\n\n\n\n

The right answer also depends on what the company actually plans to do in Colombia. A business testing the market with a limited operation may have very different needs from a multinational establishing manufacturing operations, hiring a large local team, acquiring assets or entering into long term commercial agreements.<\/p>\n\n\n\n

Colombian law gives foreign investors several options: a foreign company can establish a Colombian subsidiary, commonly through a simplified joint stock company, or a branch when its activities qualify as permanent business in Colombia. In some circumstances, neither may be necessary at the outset.<\/p>\n\n\n\n

The important question is therefore not simply which structure is easier to establish. It is which structure makes sense for the business the company is actually building in Colombia.<\/strong><\/p>\n\n\n\n

First, what is the difference?<\/h2>\n\n\n\n

The fundamental distinction is legal personality.<\/p>\n\n\n\n

A Colombian subsidiary is a separate Colombian legal entity<\/strong>. One of the most common vehicles is the Sociedad por Acciones Simplificada<\/strong>, or SAS. An SAS can be incorporated by one or more individuals or legal entities, including a foreign company, and becomes a separate legal person once registered (read more about SAS incorporation here<\/strong><\/a>)<\/p>\n\n\n\n

That separation matters. As a general rule, the shareholders of an SAS are liable only up to the amount of their contributions<\/strong>, subject to the statutory exceptions that can apply in cases such as fraud or abuse of the corporate form.<\/p>\n\n\n\n

A branch operates differently. A branch of a foreign company is an establishment of commerce through which the foreign company carries out activities in Colombia<\/strong>. It does not have a legal personality separate from its parent company.<\/p>\n\n\n\n

That means the distinction is not merely administrative. If a Colombian SAS enters into a supply agreement and later faces a contractual claim, the claim is generally directed against the Colombian company and its assets. If the same operation is conducted through a branch, the foreign parent remains directly responsible for the branch’s obligations.<\/p>\n\n\n\n

A branch does not create a liability shield for the parent<\/h2>\n\n\n\n

This is one of the most important points for a foreign company considering a branch.<\/p>\n\n\n\n

A branch has assigned capital in Colombia, but that capital should not be confused with a limit on the parent company’s liability. Colombian corporate authorities have consistently recognized that the foreign parent remains responsible for the obligations of its branch.<\/strong><\/p>\n\n\n\n

Imagine a foreign manufacturer establishes a Colombian branch and assigns COP 2 billion in capital to the operation. Three years later, the branch has COP 8 billion in contractual, financing and other commercial obligations.<\/p>\n\n\n\n

The assigned capital does not mean that the parent’s exposure is limited to COP 2 billion. The branch is an extension of the foreign company, so the parent remains responsible for the branch’s obligations.<\/p>\n\n\n\n

A SAS offers a different starting point because the Colombian operation has its own legal personality. The foreign parent can still exercise complete control as the shareholder, while maintaining a greater degree of legal separation between the Colombian company and the parent.<\/p>\n\n\n\n

Why the SAS is often attractive to foreign investors<\/h2>\n\n\n\n

The SAS was designed to provide significant flexibility in how a company is structured and governed.<\/p>\n\n\n\n

A foreign company can be the sole shareholder. There is no general requirement to have a Colombian partner, and an SAS does not need a board of directors unless its bylaws establish one.<\/strong> Its bylaws can also be tailored to the company’s ownership and governance arrangements.<\/p>\n\n\n\n

Capital requirements are similarly flexible. Colombian law does not impose a general minimum capital amount for an SAS, and subscribed capital can generally be paid within a period of up to two years.<\/p>\n\n\n\n

That flexibility becomes particularly useful when the Colombian operation is expected to evolve. An SAS can hold local assets, enter into contracts, hire employees, obtain financing, receive investment and eventually participate in a sale or corporate restructuring as an independent Colombian company.<\/p>\n\n\n\n

For a foreign parent expecting Colombia to become a meaningful market, that flexibility can be more valuable than simply choosing the structure that is quickest to establish.<\/p>\n\n\n\n

When does a foreign company need a branch?<\/h2>\n\n\n\n

The question becomes more complicated when the foreign company intends to operate directly in Colombia.<\/p>\n\n\n\n

Under Article 471 of the Colombian Commercial Code, a foreign company that intends to establish itself in Colombia and carry out permanent business activities must establish a branch with domicile in Colombia.<\/p>\n\n\n\n

Article 474 identifies several activities that can qualify as permanent, including opening commercial establishments or offices, acting as a contractor for works or services, participating in certain extractive activities and carrying out activities connected with concessions.<\/p>\n\n\n\n

The list, however, is not exhaustive. Colombian courts have emphasized that permanence depends on the circumstances of the particular operation, including its nature, habituality, stability, duration and effects in the Colombian market.<\/strong><\/p>\n\n\n\n

That distinction matters because not every transaction with a Colombian customer requires a Colombian branch<\/strong>.<\/p>\n\n\n\n

A foreign company may be able to conduct a limited or temporary transaction without establishing a local entity, depending on the facts. At the same time, a company that gradually develops a sustained local operation can create corporate issues even if it never formally intended to establish itself in Colombia.<\/p>\n\n\n\n

This is why the business model should be analyzed before the corporate structure is selected.<\/p>\n\n\n\n

The incorporation process is also different<\/h2>\n\n\n\n

An SAS can generally be incorporated through a private document registered with the relevant Chamber of Commerce, although certain transactions, such as contributions involving real estate, can require additional formalities.<\/p>\n\n\n\n

A branch involves the foreign company’s corporate documents and the decision to establish the Colombian branch, together with the documentation required to demonstrate the existence and authority of the foreign parent. Depending on the jurisdiction involved, documents may also require authentication or apostille and Spanish translation.<\/p>\n\n\n\n

The practical difference is important for multinational groups because the branch structure connects the Colombian registration process directly to the parent company’s corporate records and internal approvals.<\/strong><\/p>\n\n\n\n

The result is that neither structure should be evaluated solely by asking which one has the simpler incorporation process. The more relevant question is what the ongoing structure will require once the business is operating.<\/p>\n\n\n\n

Governance: centralized control or local autonomy?<\/h2>\n\n\n\n

A branch is naturally integrated into the foreign company’s organization. The Colombian operation remains part of the parent, and its representatives exercise authority on behalf of that foreign company.<\/p>\n\n\n\n

A SAS can also be entirely controlled by the foreign parent, but the Colombian company has its own legal personality and corporate governance.<\/p>\n\n\n\n

This creates an important distinction: ownership and legal independence are not the same thing.<\/strong><\/p>\n\n\n\n

A foreign company does not need to give up control simply because it establishes a subsidiary. It can own 100 percent of an SAS while defining the appropriate level of local management, reserved matters and reporting requirements.<\/p>\n\n\n\n

For a multinational that wants a Colombian team to manage day to day operations while headquarters retains strategic control, this can provide a useful balance.<\/p>\n\n\n\n

Funding the Colombian operation<\/h2>\n\n\n\n

The choice of structure also affects how the parent company thinks about funding its Colombian operations.<\/p>\n\n\n\n

A SAS can receive capital from its foreign shareholder, enter into financing arrangements and maintain its own Colombian financial relationships. Because it is a separate legal entity, transactions between the parent and subsidiary should generally be documented as transactions between separate companies.<\/p>\n\n\n\n

A branch operates differently because there is no separate legal personality between the Colombian operation and the foreign company. The branch has assigned capital and may also receive supplementary investment to assigned capital from the parent.<\/p>\n\n\n\n

This distinction becomes particularly relevant as the Colombian operation grows. What starts as a simple capital contribution can eventually become a combination of equity, intercompany financing, local borrowing and payments between the Colombian operation and headquarters.<\/p>\n\n\n\n

The structure should therefore reflect how the parent expects to fund the business over time, rather than simply how much money it expects to contribute on incorporation.<\/p>\n\n\n\n

Foreign investment registration matters in both structures<\/h2>\n\n\n\n

Foreign investment rules apply to both models.<\/p>\n\n\n\n

Colombia recognizes foreign direct investment through participation in the capital of a Colombian resident company. It also recognizes foreign investment through capital assigned to a branch and supplementary investment to assigned capital.<\/p>\n\n\n\n

The practical requirements depend in part on how the investment enters Colombia. When foreign currency is properly channeled through an authorized foreign exchange intermediary, registration can occur automatically based on the information provided. Other forms of investment may require registration through the Banco de la Rep\u00fablica’s foreign investment system.<\/a> <\/p>\n\n\n\n

For a foreign investor, this is more than a filing issue. The way the Colombian operation is capitalized should be considered together with the company’s broader plans for funding, ownership, distributions and eventual exit.<\/p>\n\n\n\n

So which structure should a foreign company choose?<\/h2>\n\n\n\n

There is no universal answer, but the following questions provide a useful starting point.<\/p>\n\n\n\n
