Q&amp;A  on Colombian Law and Arbitration<\/h2>\n<\/div><\/div>\n\n\n\n<p><\/p>\n\n\n\n<p>When an international company enters into a commercial agreement involving Colombia, one of the questions that often appears near the end of the negotiation is also one of the most important: <strong>Which law will govern the contract?<\/strong><\/p>\n\n\n\n<p>A foreign company may assume that the parties can simply choose the law of their preferred jurisdiction, particularly if the agreement is negotiated in English, signed outside Colombia, or provides for arbitration in another country. In practice, Colombian law is more nuanced.<\/p>\n\n\n\n<p>For commercial contracts that are performed in Colombia, <strong>the Colombian Commercial Code establishes an important territorial rule.<\/strong> At the same time, Colombian law recognizes international arbitration and gives parties considerably greater freedom to select the rules of law applicable to the substance of their dispute.<\/p>\n\n\n\n<p>This distinction can materially affect how a contract should be drafted, particularly when a foreign company is investing in Colombia, appointing a Colombian distributor, acquiring a local business, entering into a joint venture, licensing intellectual property, or providing goods or services to a Colombian operation.<\/p>\n\n\n\n<p>Below, we answer the most common questions international businesses should consider before signing a contract connected to Colombia.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: What is the general rule for commercial contracts in Colombia?<\/h2>\n\n\n\n<p><strong>A:<\/strong> The starting point is the Colombian Commercial Code.<\/p>\n\n\n\n<p>Article 1 of the Commercial Code establishes that merchants and commercial matters are governed by commercial legislation. Where a commercial matter is not expressly regulated, the Code directs the analysis first toward analogy with its own provisions and then, where necessary, toward Colombian civil legislation. Colombian commercial custom can also play a role where the statutory requirements are satisfied. Additionally, article 1602 of the Colombian Civil Code recognizes <strong>the parties&#8217; contractual freedom, meaning they are free to agree upon the terms they believe are best for their agreement, subject to imperative laws.<\/strong><\/p>\n\n\n\n<p>For an international business, however, the more important provision is often <strong>Article 869 of the Commercial Code<\/strong>.<\/p>\n\n\n\n<p>Article 869 provides that the execution in Colombia of contracts entered into abroad and intended to be performed in Colombia is governed by Colombian law. In other words, the fact that a contract was signed outside Colombia does not, by itself, remove the Colombian rules governing its performance in Colombia.<\/p>\n\n\n\n<p>Imagine that a United States company signs a supply agreement with a Colombian company in Miami. The agreement is written in English and states that it is governed by New York law. If the contractual obligations are to be performed in Colombia, the analysis cannot stop at the governing law clause. <\/p>\n\n\n\n<p>This is why an international contract involving Colombia should never be reviewed solely by asking whether it contains a foreign governing law clause.<\/p>\n\n\n\n<p>The real questions are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Where was the contract entered into?<\/li>\n\n\n\n<li>Where will the contractual obligations actually be performed?<\/li>\n\n\n\n<li>Where are the assets, operations or activities involved in the agreement located?<\/li>\n\n\n\n<li>Is the contract entirely international, or does it have a substantial connection with Colombia?<\/li>\n\n\n\n<li>Is the dispute subject to national or international arbitration?<\/li>\n\n\n\n<li>Are there Colombian mandatory rules that apply regardless of the parties&#8217; contractual preferences?<\/li>\n<\/ul>\n\n\n\n<p>Those questions can produce very different results.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: Does signing a contract outside Colombia allow the parties to avoid Colombian law?<\/h2>\n\n\n\n<p><strong>A:<\/strong> Not necessarily.<\/p>\n\n\n\n<p>This is one of the most common misconceptions we see in international transactions involving Colombia.<\/p>\n\n\n\n<p>The location where an agreement is signed is only one element of the analysis. Article 869 of the Commercial Code specifically addresses contracts entered into abroad that must be performed in Colombia and provides that their execution in Colombia is governed by Colombian law. This is an important distinction: <strong>a contract may be signed abroad, but it is performed where the obligations must be delivered by the parties.<\/strong><\/p>\n\n\n\n<p>The Colombian Civil Code follows a similar territorial approach. Article 20 recognizes the validity of contracts entered into abroad but provides that their effects and performance in Colombia can be subject to Colombian law.<\/p>\n\n\n\n<p>For example, consider a foreign company that enters into a technology services agreement with a Colombian company. The foreign company signs the agreement in New York, but the services will be provided by personnel located in Bogot\u00e1 and the agreement will be performed substantially in Colombia.<\/p>\n\n\n\n<p>Simply inserting a clause stating &#8220;This agreement shall be governed by the laws of New York&#8221; does not necessarily eliminate the relevance of Colombian law, and could lead to issues if disputes arise.<\/p>\n\n\n\n<p>That distinction becomes particularly important in regulated industries, employment relationships, real estate transactions, intellectual property, corporate structures, consumer matters and transactions involving Colombian public entities.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: Can the parties choose a foreign governing law for a contract involving Colombia?<\/h2>\n\n\n\n<p><strong>A:<\/strong> Sometimes, yes. But the answer depends heavily on the structure of the transaction and the dispute resolution mechanism.<\/p>\n\n\n\n<p>Colombian private international law has historically contained relatively limited and sometimes fragmented rules concerning contractual choice of law. The Colombian Arbitration Statute refers to &#8220;rules of law,&#8221; which can permit the use of legal rules that are not necessarily the domestic law of a particular state.<\/p>\n\n\n\n<p>For an international transaction, this can provide considerably more flexibility than relying exclusively on the default rules applicable to contracts performed in Colombia.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: When is an arbitration considered international in Colombia?<\/h2>\n\n\n\n<p><strong>A:<\/strong> This question matters because the international arbitration provisions are not triggered simply because one party is foreign.<\/p>\n\n\n\n<p>Under Law 1563 of 2012, arbitration is international when, among other possibilities, the parties have their domiciles in different countries when the arbitration agreement is concluded, a substantial part of the obligations is to be performed outside the state of the parties&#8217; domiciles, the subject matter has a closer relationship with another state, or the dispute affects international trade.<\/p>\n\n\n\n<p>This means that a contract involving a foreign company and a Colombian company should be analyzed carefully before assuming that it qualifies as international arbitration.<\/p>\n\n\n\n<p>The international character of the arbitration can have important consequences for the parties&#8217; ability to structure the dispute resolution mechanism and select the applicable rules.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: Does choosing arbitration mean that Colombian law no longer matters?<\/h2>\n\n\n\n<p><strong>A:<\/strong> No.<\/p>\n\n\n\n<p>This is perhaps the most important practical qualification. An arbitration agreement does not create a legal vacuum around the contract.<\/p>\n\n\n\n<p>The parties may have significant freedom to select the substantive law applicable to their dispute, but Colombian mandatory rules can still be relevant depending on the nature of the transaction and the subject matter.<\/p>\n\n\n\n<p>For example, parties cannot assume that selecting English law will eliminate Colombian regulatory requirements governing activities physically carried out in Colombia.<\/p>\n\n\n\n<p>Similarly, an arbitration clause does not automatically transform an employment relationship, a regulated activity, a transfer of Colombian real estate or another specially regulated matter into an entirely foreign legal relationship.<\/p>\n\n\n\n<p>The question is therefore not simply whether the parties selected foreign law.<\/p>\n\n\n\n<p>The question is <strong>which legal issues are actually subject to that choice of law and which rules remain mandatory because of their connection with Colombia.<\/strong><\/p>\n\n\n\n<p>That distinction is essential when drafting sophisticated international contracts.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: Are the governing law, the arbitration seat and the arbitration agreement the same thing?<\/h2>\n\n\n\n<p><strong>A:<\/strong> No, and confusing these concepts can create unnecessary risk.<\/p>\n\n\n\n<p>A well drafted international contract should distinguish at least three separate questions.<\/p>\n\n\n\n<p><strong>First, what law governs the substance of the contract?<\/strong><\/p>\n\n\n\n<p>This determines the legal rules used to interpret contractual obligations and decide substantive claims.<\/p>\n\n\n\n<p><strong>Second, where is the arbitration legally seated?<\/strong><\/p>\n\n\n\n<p>The seat determines the procedural framework supporting the arbitration and the courts that have supervisory authority over the arbitration.<\/p>\n\n\n\n<p><strong>Third, what law governs the arbitration agreement itself?<\/strong><\/p>\n\n\n\n<p>This can become relevant when determining issues such as the existence, validity, scope or interpretation of the arbitration agreement.<\/p>\n\n\n\n<p>These concepts can be connected, but they do not have to be identical.<\/p>\n\n\n\n<p>For example, an international contract involving a Colombian business might provide for Colombian substantive law, arbitration seated in Bogot\u00e1 and Colombian law governing the arbitration agreement. Alternatively, depending on the transaction and the parties&#8217; objectives, the parties may choose a foreign substantive law and a foreign arbitration seat.<\/p>\n\n\n\n<p>The correct structure depends on the transaction rather than on a universal formula.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: Can the arbitral tribunal apply something other than the law of a particular country?<\/h2>\n\n\n\n<p><strong>A:<\/strong> In certain circumstances, yes.<\/p>\n\n\n\n<p>Article 101 of Law 1563 refers to the &#8220;rules of law&#8221; selected by the parties rather than limiting the choice exclusively to the domestic law of a particular country. The framework can therefore accommodate certain non-state based rules, provided that the overall contractual structure is legally appropriate.<\/p>\n\n\n\n<p>This can be relevant in sophisticated international transactions where parties consider instruments such as international commercial principles or other recognized bodies of transnational commercial rules.<\/p>\n\n\n\n<p>However, this flexibility should not be confused with complete freedom from mandatory law.<\/p>\n\n\n\n<p>The more closely a transaction is connected to Colombia, the more important it becomes to identify Colombian rules that could apply regardless of the parties&#8217; preferred contractual framework.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: What happens if the contract does not specify the applicable law?<\/h2>\n\n\n\n<p><strong>A:<\/strong> In an international arbitration governed by Colombia&#8217;s Arbitration Statute, the tribunal does not simply stop because the parties failed to include a governing law clause.<\/p>\n\n\n\n<p>Article 101 provides that if the parties have not indicated the applicable rules of law, the arbitral tribunal will apply the rules it considers pertinent. That can increase uncertainty, litigation over preliminary issues and the cost of resolving the dispute.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: What does this mean for a foreign company doing business in Colombia?<\/h2>\n\n\n\n<p><strong>A:<\/strong> The most important takeaway is that <strong>governing law should be treated as a transaction design decision, not as a standard contract clause.<\/strong><\/p>\n\n\n\n<p>Before signing an agreement connected to Colombia, an international business should consider at least the following:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Identify where the contract will actually be performed, not only where it will be signed.<\/li>\n\n\n\n<li>Determine whether Colombian mandatory rules could apply to the relationship.<\/li>\n\n\n\n<li>Analyze whether the transaction qualifies as international arbitration.<\/li>\n\n\n\n<li>Select the substantive governing law deliberately.<\/li>\n\n\n\n<li>Consider separately the law governing the arbitration agreement.<\/li>\n\n\n\n<li>Select the arbitration seat based on procedural and enforcement considerations.<\/li>\n\n\n\n<li>Make sure the dispute resolution clause is consistent with the commercial structure of the transaction.<\/li>\n\n\n\n<li>Review whether specific Colombian regulatory, corporate, tax, employment, intellectual property or property rules could apply independently of the governing law clause.<\/li>\n<\/ul>\n\n\n\n<p>This is particularly important for companies entering Colombia for the first time. <strong>A contract can look perfectly familiar from the perspective of a foreign legal team and still contain significant Colombia specific issues that only become visible when the agreement is analyzed against the local legal framework.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: Can a foreign arbitral award be enforced in Colombia?<\/h2>\n\n\n\n<p><strong>A:<\/strong> Yes, subject to the applicable recognition and enforcement framework.<\/p>\n\n\n\n<p>Colombia is a party to the <strong>1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards<\/strong>, which entered into force for Colombia in 1979. The Convention establishes an international framework for recognition and enforcement of foreign arbitral awards and requires contracting states to give effect to qualifying arbitration agreements.<\/p>\n\n\n\n<p>Colombia&#8217;s Arbitration Statute also contains a specific framework for recognition and enforcement of foreign arbitral awards.<\/p>\n\n\n\n<p>For an international business, this is strategically relevant because choosing international arbitration is not simply about deciding where a dispute will be heard. The parties should also think about <strong>where assets are located and where a potential award may ultimately need to be enforced.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Q: So, should an international company choose Colombian law or foreign law?<\/h2>\n\n\n\n<p><strong>A:<\/strong> There is no universal answer.<\/p>\n\n\n\n<p>For a transaction that is substantially connected to Colombia, Colombian law may provide the most predictable framework, particularly where the performance of the agreement is primarily local and Colombian mandatory rules will be relevant regardless of the parties&#8217; choice.<\/p>\n\n\n\n<p>For a genuinely international transaction, however, a foreign governing law combined with an appropriately structured international arbitration clause may be entirely reasonable.<\/p>\n\n\n\n<p>The right question is therefore not:<\/p>\n\n\n\n<p><strong>&#8220;Can we choose foreign law?&#8221;<\/strong><\/p>\n\n\n\n<p>The better question is:<\/p>\n\n\n\n<p><strong>&#8220;Which legal framework gives this particular transaction the greatest predictability while respecting the Colombian rules that cannot be contracted around?&#8221;<\/strong><\/p>\n\n\n\n<p>That is the analysis that should take place before the contract is signed, not after a dispute arises.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Final Takeaway<\/h2>\n\n\n\n<p>The Colombian Commercial Code establishes an important territorial rule for contracts entered into abroad but performed in Colombia.
