There is a version of M&A in Colombia that looks very clean on paper. The numbers make sense, the growth story is compelling, the team seems capable, and the opportunity appears to be obvious and very attractive, until you start digging.<\/p>\n\n\n\n

What you find is not necessarily negative, but it is almost never as simple as it first appeared. The difference between a successful acquisition and a problematic one is rarely about valuation. It is about how well you understand what is underneath the surface.<\/p>\n\n\n\n

If you are evaluating an acquisition in Colombia, these are ten things you should know before you sign.<\/p>\n\n\n\n

1. The company you are buying and the company that exists are not always the same<\/h3>\n\n\n\n

Corporate records in Colombia can look perfectly in order at first glance. Shareholders are listed (not publicly), capital is defined, and decisions are recorded.<\/p>\n\n\n\n
